Statutory Filing of your company’s Register of Beneficial Ownership

As you may be aware with effect from 29 July 2019, every company now has a legal obligation to maintain a Register of Beneficial Ownership (“RBO”) and file same with the Central Register of Beneficial Ownership (“CRBO”).  The RBO must set out details of all beneficial owners with a 25% or more shareholding in a private company.   This new legal requirement is part of Ireland’s implementation of the 4th EU Anti-Money Laundering Directive.

Companies will have until Friday 22 November 2019 to file their RBO with the Central Register of Beneficial Ownership to ensure compliance with this legislation.  Please note that the legislation provides for significant sanctions for any company who fails to comply with the requirement to establish, maintain and file their RBO with the Central Register of Beneficial Ownership.
